Commercial Licensing Terms

Effective Date: July 15, 2026

These Commercial Licensing Terms govern all licensing transactions involving artwork created by Cam Villar and licensed by ModernArtCam LLC.

Our Licensing Philosophy

ModernArtCam™ licenses original studio artwork for architectural, hospitality, commercial, and consumer applications while preserving the long-term value and integrity of each work.

Licensing grants permission to use artwork under defined conditions. It does not transfer ownership of the artwork or its copyright.

Available Licensing Programs

Artwork may be licensed for:

  • STRATA™ Architectural Wallcoverings

  • Hospitality Projects

  • Corporate Interiors

  • Healthcare Environments

  • Public Spaces

  • Themed Environments

  • Manufacturer Collections

  • Consumer Products

  • Editorial & Publishing

  • Brand Collaborations

What You Receive

Upon execution of a licensing agreement and receipt of payment, clients receive:

  • Production-ready artwork files

  • Technical file preparation

  • Approved production formats

  • Written licensing agreement

  • Artist approval where applicable

Copyright Ownership

All copyrights remain the exclusive property of ModernArtCam LLC and Cam Villar.

No copyright is transferred through licensing.

Rights Granted

Each license specifies:

  • Artwork

  • Application

  • Product category

  • Territory

  • Duration

  • Exclusivity

  • Manufacturing partner(s)

Any use outside those rights requires written approval.

Production Files

Production files are supplied only for the approved licensed application.

Delivery of files does not transfer ownership.

Files remain the intellectual property of ModernArtCam LLC.

Manufacturers

Approved manufacturers, printers, installers and production partners receive only the limited rights necessary to produce the licensed work.

They may not:

  • Archive files for future use

  • Reproduce artwork for other clients

  • License artwork

  • Modify artwork

  • Redistribute production files

Artwork Modifications

Reasonable production adjustments may include:

  • Scaling

  • Cropping

  • Panel layouts

  • Repeat development

  • Color management

Changes to the artistic composition require written approval.

Exclusivity

Licenses may be:

  • Non-exclusive

  • Category-exclusive

  • Territory-exclusive

  • Fully exclusive

Exclusive rights require additional licensing fees and written agreement.

Royalties

Some licenses include:

  • Flat fees

  • Royalties

  • Minimum guarantees

  • Advance payments

Royalty terms are defined within each licensing agreement.

AI Restrictions

Licensed artwork may not be used to:

  • Train AI models

  • Build machine learning datasets

  • Generate derivative AI artwork

  • Develop synthetic media systems

unless expressly authorized by Modern Art Cam LLC.

Prohibited Uses

Without written approval, artwork may not be:

  • Resold

  • Sub-licensed

  • Shared with unauthorized parties

  • Used on additional products

  • Used in additional territories

  • Used beyond the licensing term

File Security

Clients agree to maintain reasonable safeguards against unauthorized copying or distribution of production files.

Credit

Where practical, artwork should be credited as:

Alternative credit language may be specified within individual agreements.

Termination

Failure to comply with licensing terms may result in immediate termination of the license.

Upon termination, all manufacturing and new commercial use must cease.

Governing Law

Commercial licensing agreements shall be governed by the laws of the State of Georgia.
